Why it matters /

The party that hurts you is the one you forgot about.

Nobody misses the counter-party. It's the third, fourth and fifth names in the deal that go unrecorded — and they are usually the ones carrying the risk.

The guarantor

A parent company promised to cover the bill if the subsidiary can't. That promise is in a separate document nobody has opened since signing.

The sub-processor

Your data is sitting with a third company in another country. You agreed to it in a schedule. Your privacy notice doesn't mention them.

The escrow agent

Someone neutral is holding funds or source code. Everybody forgets they exist until the day it matters enormously.

It's built from the contract, not typed in by hand.

Most relationship diagrams are drawn once, in a slide deck, by someone who read the contract in 2023. They are wrong within a month and nobody notices.
